外貿企業循環信用證操作策略

1.時間循環信用證SJx大陸橋物流聯盟

信用證常規要點如不可撤銷、可多批次裝運、可轉運、信用證覆蓋時間、交單時間、交單文件與合同要求一致（或雖有差異，但更有利于受益人滿足信用證要求，也可接受）等條款。時間循環信用證是指首開金額較小，受益人在規定的時間內可多次支取信用證規定金額，開證行在約定的時間內增加信用證金額到總額。循環增額的主要要點：SJx大陸橋物流聯盟

（1）明確首開金額和信用證的總金額；SJx大陸橋物流聯盟

（2）循環時間要明確且無條件或無需開證行通知或指示。循環時間或條件要求明確無歧義，金額增額無條件，金額增額無需開證行通知或指示。如循環時間不明確或有條件的增值，應小心把握并盡量避免。SJx大陸橋物流聯盟

Total CIF value of USD xxx covers under this letter of credit in the following manner.SJx大陸橋物流聯盟

A. Initially this LC is opened for a period of 6 month i.e up to 30.11.05 by USD 35, 180, 000；SJx大陸橋物流聯盟

B. On 30.11.05（6 months from the issuing date of this LC）, this LC shall be extended to 31.05.06（till 12 months from the issuing date of the LC） and increased by amount of USD 35, 100, 000 automatically without the prior writing notice from the issuing bank.SJx大陸橋物流聯盟

C. On 31.05.06（12 months from the issuing date of this LC）, this LC shall be extended to 30.11.06 （till 18 months from the issuing date of the LC）and increased by amount of USD 10, 800, 000 automatically without the prior writing notice from the issuing bank.SJx大陸橋物流聯盟

D. On 30.11.06 （18 months from the issuing date of this LC）, this LC shall be extended to 31.05.07 （till 24 months from the issuing date of the LC） and increased by amount of USD 16, 759, 794 automatically without the prior writing notice from the issuing bank.SJx大陸橋物流聯盟

E. On 31.05.07 （24 months from the issuing date of this LC）, this LC shall be extended to 30.11.07 （till 30 months from the issuing date of the LC） and increased by amount of USD 5, 398, 568 automatically without the prior writing notice from the issuing bank.（注：以上條款中首開金額、總金額及每次增值的金額和時間及條件都非常清楚無歧義）SJx大陸橋物流聯盟

In case any amount remain unspent for a particular 6 months period willSJx大陸橋物流聯盟

automatically be carried over to the next six months.（注：金額累積條款很明確，未使用金額自動計入下期使用并不影響下期金額的自動增值）。SJx大陸橋物流聯盟

If the date on which XXX received the P.G test certificate is delayed beyond the above mentioned expiry date of LC,the final expiry date of the LC is extended to the date which is one month after the date on which XXX received the P.G test certificate.（注：開證時經過與業主及開證行的交流，信用證中還增加了合同中沒有約定的最后一筆節點款時間寬限條款）。SJx大陸橋物流聯盟

2.金額循環信用證SJx大陸橋物流聯盟

同樣，在初次審證時常規條款要求不再累述。金額循環信用證指首開金額較小，受益人在約定時間內議付后，信用證仍恢復到初始開證的原金額再繼續使用，直至用完規定的循環次數或總金額為止。循環增額的主要要點：SJx大陸橋物流聯盟

（1）明確首開金額及信用證累積使用的總金額；SJx大陸橋物流聯盟

（2）循環金額即首開金額是否能滿足發貨或工程收款的需要；首開金額盡可能高。如根據合同分項價格，某次收款金額超過信用證首開金額，則應在開證時協商提高首開金額，否則，如交單金額超過循環金額，開證行有充足理由拒付此款。特別是遠期信用證，某一段時間內累計提交銀行議付的金額不能超過首開金額。如不能提高首開金額，則在發貨交單時控制節奏和金額。SJx大陸橋物流聯盟

（3）無條件自動增額，在信用證金額被交單支付后，應無條件立即自動增額到循環金額即首開金額。對非自動立即增額的循環信用證，即有增額條件要求的信用證，則應特別小心。如規定增額需開證行通知，這類循環信用證有限制條件，應結合合同條款、合作方信用度等因素綜合考慮是否接受此類信用證。SJx大陸橋物流聯盟

有時由于表述等原因，對不確定是否為無條件自動循環增額信用證，受益人可請通知行電報要求開證行予以澄清。SJx大陸橋物流聯盟

3. The LC Value is USD 18，405，874 with reinstatement up to a total value not exceeding USD 71，512，500 for all the payments. （規定了首開金額及總金額的金額循環信用證）后來開證行對循環金額的自動增額做了解釋SJx大陸橋物流聯盟

The amount of this revolving L/C is to reinstate to USD 18，405，874 under a total value not exceeding USD 71，512，500 upon each payment. （明確了付款后立即自動增額到循環金額）。SJx大陸橋物流聯盟
